    Welcome to TripLeads.AI. These Terms of Service ("Terms") govern your access to and use of our platform that connects couples planning weddings and honeymoons with qualified venue partners. By using our services, you agree to be bound by these Terms.

    1. Acceptance of Terms

    By accessing or using TripLeads.AI, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services. We reserve the right to modify these Terms at any time, and your continued use of the platform constitutes acceptance of any changes.

    2. Service Description

    TripLeads.AI provides a lead generation platform that:

    • Connects couples planning weddings and honeymoons with suitable venue partners
    • Provides AI-powered lead capture widgets and conversational tools
    • Offers lead management dashboards for partner venues
    • Facilitates romance audience targeting and campaign management
    • Provides Smart Wedding Pages for partner businesses
    • Delivers email response automation and lead analytics

    We act as an intermediary platform and do not provide wedding planning, venue, or travel services directly.

    3. User Accounts and Registration

    3.1 Account Creation

    Partner venues must create an account to access our services. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

    3.2 Account Security

    You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

    3.3 Account Eligibility

    You must be at least 18 years old and have the legal authority to enter into these Terms. Partner accounts must represent legitimate businesses in the wedding and hospitality industry.

    4. Partner Obligations

    As a partner venue using TripLeads.AI, you agree to:

    • Provide accurate information about your venue, services, and availability
    • Respond to leads in a timely and professional manner
    • Comply with all applicable laws and regulations in your jurisdiction
    • Not misrepresent your services or make false claims
    • Respect the privacy and personal information of couples
    • Honor the pricing and terms presented to potential clients
    • Maintain appropriate licenses and insurance for your business
    • Not engage in discriminatory practices

    5. Lead Quality and Delivery

    5.1 No Guarantees

    While we use romance audience targeting and AI-powered matching to deliver quality leads, we do not guarantee the number of leads, conversion rates, or that any lead will result in a booking. Lead quality depends on many factors outside our control.

    5.2 Lead Distribution

    Leads may be distributed to multiple partner venues based on matching criteria. We reserve the right to determine lead distribution methods and matching algorithms at our sole discretion.

    5.3 Lead Ownership

    Once a lead is delivered to your account, you may contact and work with that couple directly. However, you may not sell, transfer, or share lead information with third parties outside your organization.

    6. Payment and Billing

    6.1 Subscription Plans

    Partner accounts are offered on a subscription basis with different tiers (Standard, Premium, Custom). Pricing is based on property size and selected features. Annual subscriptions receive a 20% discount.

    6.2 Payment Terms

    Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method on file. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

    6.3 Price Changes

    We reserve the right to change our pricing at any time. Price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.

    6.4 Lowest Cost Per Lead Guarantee

    For Premium and Custom plan subscribers, we guarantee the lowest cost per qualified lead in our network. If you find a lower cost per lead from a comparable service, we will match that rate for your next billing cycle, subject to verification.

    7. Intellectual Property Rights

    7.1 Platform Ownership

    TripLeads.AI and all related trademarks, logos, content, and technology are owned by us or our licensors. You may not use our intellectual property without express written permission.

    7.2 Partner Content

    You retain ownership of any content you upload to the platform (photos, descriptions, branding). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content as necessary to provide our services.

    8. Prohibited Conduct

    You may not:

    • Use the platform for any illegal purpose or in violation of any laws
    • Attempt to gain unauthorized access to our systems or other users' accounts
    • Interfere with or disrupt the operation of the platform
    • Use automated systems to scrape data or generate artificial traffic
    • Upload viruses, malware, or other harmful code
    • Harass, abuse, or harm other users
    • Impersonate another person or entity
    • Violate the privacy rights of others
    • Use the platform to compete with TripLeads.AI or develop a competing service

    9. Disclaimer and Limitation of Liability

    9.1 Service "As Is"

    TripLeads.AI is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or secure.

    9.2 Limitation of Liability

    To the maximum extent permitted by law, TripLeads.AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

    9.3 Third-Party Relationships

    We are not responsible for the actions, content, or services of partner venues or any third parties. Any arrangements you make with venues through our platform are solely between you and them.

    10. Termination

    10.1 Termination by You

    You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of your current billing period, and you will continue to have access until that time.

    10.2 Termination by Us

    We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will provide notice when practical, but are not obligated to do so.

    10.3 Effect of Termination

    Upon termination, your right to access and use the platform will immediately cease. We may delete your account data subject to our data retention policies and legal obligations.

    11. Governing Law and Dispute Resolution

    11.1 Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TripLeads.AI is incorporated, without regard to its conflict of law provisions.

    11.2 Dispute Resolution

    Any disputes arising out of or relating to these Terms or the platform shall first be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

    12. Miscellaneous

    12.1 Entire Agreement

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and TripLeads.AI regarding the use of our platform.

    12.2 Severability

    If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

    12.3 Waiver

    Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
